These Terms & Conditions ("Terms") govern your access to and use of Shinobi Cart, including our website, account services, product browsing, proxy purchase support, Shinobi Base address service, package receiving, storage, consolidation, international shipping, points, vouchers, referrals, and related customer support services (collectively, the "Service").

The Service is operated by SumiX Inc. ("SumiX", "Shinobi Cart", "we", "us", or "our"). By creating an account, placing an order, requesting a proxy purchase, declaring a package, using your Shinobi Base address, or otherwise using the Service, you agree to these Terms.

If you do not agree to these Terms, please do not use the Service.

1. Service Overview

Shinobi Cart helps customers outside Japan discover, purchase, receive, store, consolidate, and ship products from Japan.

Depending on the service you use, Shinobi Cart may provide:

  • Product browsing and ordering through Shinobi Cart
  • Proxy purchase support for eligible Japanese shops
  • Shinobi Base address service for receiving eligible packages purchased by you outside Shinobi Cart
  • Package receiving, storage, measurement, consolidation, and international shipping preparation
  • Shipping fee calculation, additional fee collection, shipment arrangement, and tracking notification
  • Customer support, notifications, points, vouchers, and referral-related services

Some services may be unavailable in certain countries, for certain products, or for certain users.

2. Eligibility and Conditions of Use

You may use the Service only if you can legally enter into a binding agreement and if your use of the Service is permitted under the laws and regulations applicable to you, the products you request, Japan, the destination country, carriers, payment providers, and any relevant third-party shops or marketplaces.

By using the Service, you represent and agree that:

  • You are at least the age of majority in your country or region, or you have obtained valid consent from a parent or legal guardian where required
  • You will use the Service only for lawful purposes
  • You will provide accurate, current, and complete information
  • You will not use false names, false addresses, false declarations, misleading product descriptions, or inaccurate declared values
  • You will not request, purchase, send, store, export, import, or ship prohibited, restricted, illegal, unsafe, counterfeit, infringing, or undeclared items
  • You will not use the Service to evade laws, customs rules, sanctions, export controls, import controls, payment rules, carrier rules, or marketplace rules
  • You will pay all applicable product prices, service fees, shipping fees, storage fees, additional charges, taxes, customs duties, and other amounts due
  • You will respond promptly to requests for additional information, payment, shipping instructions, customs information, or compliance confirmation
  • You will not interfere with, abuse, scrape, reverse engineer, overload, or misuse the Service or its systems
  • You will not create multiple accounts, use another person's account, or manipulate points, vouchers, referrals, campaigns, or promotions in an abusive or fraudulent manner
  • You will not resell, commercialize, or use the Service in a way that creates unreasonable operational, legal, payment, customs, carrier, or reputational risk unless expressly approved by Shinobi Cart

We may refuse, cancel, hold, suspend, restrict, or terminate any order, proxy purchase request, package, shipment, account, points, voucher, reward, or other use of the Service if we reasonably believe that these conditions are not met or that the use of the Service creates legal, compliance, payment, customs, carrier, safety, fraud, abuse, or operational risk.

Certain features may be limited by country, account status, verification status, payment status, product type, shipment destination, carrier availability, or operational capacity.

3. Account Registration and Responsibility

You may need to create an account to use certain features of the Service. You agree to provide accurate, current, and complete information and to keep your account information updated.

You are responsible for:

  • Maintaining the confidentiality of your login credentials
  • All activities conducted through your account
  • Ensuring that your shipping address, recipient name, phone number, customs information, and payment information are accurate
  • Promptly notifying us of unauthorized access or suspected misuse

We may suspend or restrict your account if we reasonably believe that your account is being misused, used for prohibited activity, or used in a manner that creates legal, operational, payment, customs, or safety risk.

4. Product Information and Availability

Product information, prices, images, availability, shipping estimates, and related descriptions may be based on data received from Japanese marketplaces, third-party shops, Shinobi Original product data, or information entered by users.

We make reasonable efforts to keep product information accurate, but we do not guarantee that all product information is complete, current, error-free, or always available.

Products may become unavailable, discontinued, restricted, incorrectly priced, or unsuitable for international shipping. We may cancel, reject, hold, or request additional confirmation for an order if there is an error, restriction, stock issue, or compliance concern.

5. Product Categories and Prohibited Items

You may not use the Service for products that are illegal, restricted, unsafe, prohibited by Shinobi Cart, prohibited by Japanese law, prohibited by the destination country, prohibited by carriers, or otherwise unsuitable for purchase, storage, export, import, or international shipping.

Prohibited or restricted items may include, but are not limited to:

  • Dangerous goods, explosives, flammable items, chemicals, and hazardous materials
  • Weapons, weapon parts, and items regulated as weapons
  • Narcotics, controlled substances, pharmaceuticals, medical items, or regulated health products
  • Counterfeit, pirated, stolen, or infringing goods
  • Live animals, plants, food items, alcohol, tobacco, or perishable goods where restricted
  • Batteries, liquids, aerosols, cosmetics, or electronics that carriers or customs may restrict
  • Items that violate Japanese export rules or destination-country import rules

The prohibited item examples above are not exhaustive. You are responsible for confirming whether an item can be legally purchased, exported from Japan, imported into your country, and shipped by the applicable carrier.

We may refuse, cancel, return, dispose of, or hold any item that we determine may be prohibited, restricted, unsafe, infringing, or unsuitable for the Service.

6. Orders Through Shinobi Cart

When you place an order through Shinobi Cart, the order is subject to payment authorization, stock availability, product restrictions, and operational review.

At the time of order, your payment method may be authorized or placed in a capture-pending state. Shinobi Cart will capture or finally settle the product payment only after Shinobi Cart confirms that the product can be purchased or secured from the source shop. If the product cannot be purchased or secured, Shinobi Cart may cancel the order and release the authorization or process any applicable refund in accordance with the payment processor's rules.

An order is not final until accepted and processed by Shinobi Cart. We may reject or cancel an order if:

  • Payment authorization fails, expires, is canceled, or is reversed
  • The product is out of stock
  • The product is prohibited or restricted
  • The product information contains a material error
  • The order appears fraudulent, abusive, or otherwise risky
  • We cannot reasonably fulfill the order

If an order is canceled after payment capture or settlement, we will process any applicable refund in accordance with our refund policy and the payment processor's rules.

7. Proxy Purchase Requests

For proxy purchase requests, you ask Shinobi Cart to purchase eligible products from Japanese shops on your behalf.

Proxy purchase requests are subject to:

  • Product eligibility review
  • Shop eligibility review
  • Price confirmation
  • Payment authorization or capture-pending status before purchase
  • Stock availability at the time of purchase
  • Purchase restrictions, cancellation rules, and return rules of the source shop

When you submit a proxy purchase request, your payment method may be authorized or placed in a capture-pending state before Shinobi Cart attempts to purchase the product. Shinobi Cart will capture or finally settle the proxy purchase payment only after the requested product is successfully purchased or secured. If the item is out of stock, restricted, price-changed beyond confirmation, unavailable, or otherwise cannot be purchased, Shinobi Cart may cancel the request and release the authorization or process any applicable refund in accordance with the payment processor's rules.

Submitting a proxy purchase request does not guarantee that the product can be purchased. We may decline a proxy purchase request for any reason, including product restrictions, shop restrictions, unclear information, unreasonable risk, price changes, insufficient payment, or operational limitations.

Once we purchase a product from the source shop, cancellation or return may not be possible unless allowed by the source shop and accepted by Shinobi Cart.

8. Shinobi Base Address and Declared Packages

The Shinobi Base address service allows you to send eligible packages purchased by you outside Shinobi Cart to a designated receiving address in Japan.

When declaring a package, you must provide accurate information, including:

  • Domestic tracking number
  • Carrier, if requested
  • Item name
  • Category
  • Quantity
  • Declared value
  • Purchase source or supporting information, if requested
  • Any other information necessary for receiving, storage, customs, insurance, or shipping

You must not send prohibited, restricted, illegal, unsafe, or undeclared items to Shinobi Base.

We may refuse, hold, return, dispose of, or request additional information for undeclared, incorrectly declared, unidentified, prohibited, restricted, or suspicious packages.

9. Receiving, Inspection, Measurement, and Storage

When packages arrive at our warehouse or receiving location, we may register the package, confirm basic package information, measure size and weight, photograph items or packages where necessary, and update the item status in your account.

Any inspection we perform is limited and operational in nature. We do not guarantee full inspection, authenticity verification, condition verification, performance testing, completeness verification, or defect detection unless expressly agreed.

Storage begins when an item is registered as received in the warehouse. Storage ends for the item when the customer gives shipping or packing instructions for that item.

The current intended storage policy is:

  • Free storage for the first 30 days after warehouse receipt
  • Storage fees are calculated per item
  • From Day 31, storage fees may apply at S$1 per item per day
  • Storage fees may be capped at S$60 per item
  • Items stored for 90 days or more may become subject to disposal, return, additional payment request, or other handling in accordance with notices sent to the user

Billing timing, notice timing, grace periods, and disposal procedures must be shown in the Service and may be updated from time to time.

10. Consolidation and Shipping Instructions

You may instruct us to ship selected items together, leave other items in storage, or create one or more shipment groups.

Once you submit shipping or packing instructions, we may prepare the package, calculate actual size and weight, determine available shipping methods, and calculate the international shipping fee.

If the amount already paid by you is insufficient, we may request payment of the difference before shipment. If no additional payment is required, the shipment may proceed to shipping arrangement.

We may include a packing slip or order-content confirmation document inside the package for your reference. Such document is not a tax invoice.

11. Shipping, Tracking, Customs, and Delivery

International shipping may be arranged through carriers or shipping service providers selected or supported by Shinobi Cart.

Shinobi Cart initially supports Japan Post. Additional carriers may be added depending on destination country, package type, service availability, and operational conditions.

You acknowledge that:

  • Shipping fees may vary based on actual weight, size, destination, carrier, fuel surcharge, handling, insurance, customs requirements, or other factors
  • Estimated shipping fees may differ from actual shipping fees
  • Tracking information may become available only after shipment registration
  • Delivery times are estimates and are not guaranteed
  • Customs inspection, import restrictions, duties, taxes, delays, seizure, return, or disposal may occur in the destination country

You are responsible for customs duties, import taxes, customs clearance requirements, import permits, destination-country compliance, and any additional costs imposed by customs, carriers, or authorities.

After the required payment and shipping procedures are completed, Shinobi Cart will arrange international shipment within 3 business days in ordinary cases, unless delayed by package condition, prohibited or restricted item review, carrier restrictions, customs, payment, missing user information, operational constraints, or other circumstances.

12. Payments, Currency, Points, and Vouchers

Prices, fees, points, vouchers, and payment amounts may be displayed in one or more currencies. Unless otherwise specified, Japanese yen may be used as the base currency for product prices, points, fee calculation, or internal accounting.

Displayed foreign-currency amounts may be based on exchange rates and applicable payment or foreign exchange buffers determined by Shinobi Cart or its payment service providers.

For Shinobi Cart product orders, the payment may first be authorized or placed in a capture-pending state. The product payment is generally captured or finally settled after Shinobi Cart successfully purchases or secures the product from the source shop. If the product cannot be purchased or secured, the authorization may be released or a refund may be processed according to the payment method and payment provider rules.

You agree to pay all applicable product prices, proxy purchase amounts, Shinobi Protection fees, domestic shipping, international shipping, storage fees, additional shipping differences, taxes, customs charges, and other amounts shown or notified through the Service.

Shinobi Protection is charged on all transactions handled through Shinobi Cart. Unless otherwise shown, the Shinobi Protection fee is the greater of S$5 or 1.5% of the applicable transaction amount. Standard proxy purchase handling, consolidation, and normal packing are included in Shinobi Protection unless otherwise stated for special handling.

Points, vouchers, referral rewards, coupons, or campaign benefits may be subject to separate conditions, including expiration dates, minimum purchase amounts, eligible products, eligible countries, usage limits, cancellation rules, and fraud-prevention rules.

We may cancel, reverse, expire, or adjust points, vouchers, or rewards if an order is canceled, refunded, returned, fraudulent, abusive, or otherwise invalid.

13. Returns, Cancellations, and Refunds

Return, cancellation, refund, and exchange availability depends on the type of transaction, product condition, source shop rules, carrier rules, customs status, and the stage of fulfillment.

For proxy purchases and external shop purchases, return or cancellation may be limited by the rules of the source shop. We do not guarantee that source shops will accept returns, cancellations, or exchanges.

For Shinobi Original products, the same general returns and cancellations policy applies unless a separate condition is shown on the product page or checkout screen.

For items purchased by the user outside Shinobi Cart, the user is generally responsible for arranging returns, exchanges, or refunds with the source shop.

For international shipments, returns may be difficult or impossible after dispatch. If a shipment is returned, refused, held by customs, abandoned, or undeliverable, you may be responsible for return shipping, reshipping, storage, disposal, customs fees, and related costs.

Any special return policy required for online sales must be displayed separately in the applicable order flow or legal disclosure page.

14. User Communications and Notifications

We may contact you by email, in-app notification, account message, or other reasonable means regarding:

  • Account registration and verification
  • Orders and payments
  • Proxy purchase confirmation
  • Package arrival
  • Shipping instructions
  • Storage period reminders and storage fees
  • Additional payment requests
  • Shipping and tracking
  • Customer support inquiries
  • Points, vouchers, referrals, campaigns, and service updates
  • Legal, security, or policy notices

You are responsible for checking messages and keeping your contact information current.

15. User Content, Reviews, and Inquiries

If you submit reviews, comments, inquiries, product requests, category requests, images, documents, messages, or other content, you represent that you have the right to submit such content and that it does not violate any law or third-party right.

We may use submitted content to operate, improve, support, moderate, display, or communicate about the Service, subject to our Privacy Policy and applicable law.

We may remove or restrict content that is abusive, unlawful, misleading, infringing, offensive, spam, irrelevant, or otherwise inappropriate.

16. Intellectual Property

All trademarks, logos, designs, text, images, software, interfaces, and other materials provided by Shinobi Cart are owned by or licensed to SumiX or its licensors, unless otherwise indicated.

You may not copy, modify, distribute, scrape, reverse engineer, resell, or exploit the Service or its content except as permitted by law or expressly authorized by us.

Third-party product images, product names, marketplace data, brand names, and shop information may belong to their respective owners.

17. Suspension, Refusal, and Termination

We may suspend, restrict, refuse, or terminate access to the Service if we reasonably believe that:

  • You violated these Terms
  • You provided inaccurate or misleading information
  • Payment failed, was disputed, or appears fraudulent
  • You used the Service for prohibited or restricted items
  • Your account creates legal, customs, payment, operational, security, or reputational risk
  • Continued service is impractical or unsafe

Termination or suspension does not relieve you of payment obligations already incurred.

18. Disclaimers

The Service is provided on an "as is" and "as available" basis to the extent permitted by applicable law.

We do not guarantee:

  • Continuous or error-free operation
  • Product availability
  • Accuracy of all third-party product data
  • Authenticity or condition of all third-party products
  • Customs clearance
  • Delivery by a specific date
  • Availability of all shipping methods
  • That a product is legal to import into your country

Nothing in these Terms excludes liability that cannot be excluded under applicable law.

19. Limitation of Liability

To the maximum extent permitted by applicable law, Shinobi Cart and SumiX are not liable for indirect, incidental, special, consequential, punitive, or lost-profit damages arising from or related to the Service.

Our liability for any claim arising from or related to the Service may be limited to the amount paid by you for the specific service or transaction giving rise to the claim, unless a different limitation is required by applicable law.

We are not responsible for delays, loss, damage, seizure, return, disposal, customs actions, carrier actions, source shop actions, payment processor actions, or events outside our reasonable control, except to the extent required by applicable law.

20. Changes to the Service and Terms

We may modify, suspend, discontinue, or update the Service, features, fees, policies, or these Terms from time to time.

When we make material changes, we will provide notice through the Service, email, or other reasonable means where required.

Your continued use of the Service after the effective date of updated Terms constitutes acceptance of the updated Terms.

21. Governing Law and Jurisdiction

These Terms are governed by the laws of Japan, unless otherwise required by mandatory consumer protection laws applicable to you.

Any dispute arising out of or related to these Terms or the Service shall be subject to the exclusive jurisdiction of the Miyazaki District Court of Japan as the court of first instance, unless another jurisdiction is required by applicable law.
